Terms of Use
1. Agreement to these Terms.
By accessing or using Strata, you agree to these Terms. If you act on behalf of a firm, you represent that you are authorized to bind it. If you do not agree, do not use the service.
2. Eligibility — licensed attorneys only.
Strata is a tool for licensed attorneys. You represent that you are an attorney licensed to practice in a relevant jurisdiction and that you will use the service only in the course of representing clients for whom you are responsible. Strata is not built to be driven by a non-attorney.
3. What Strata is — and is not.
Strata is a structured-analysis engine that reads discovery and records you provide and returns draft analytical work product grounded in those inputs. It does not investigate, does not supply facts, and does not exercise legal judgment. It restructures and analyzes what you provide; it does not generate new facts, and anything the record does not support is marked plainly.
Strata is not legal advice, is not a substitute for an attorney's independent professional judgment, and does not constitute the unauthorized practice of law. It is a force-multiplier for a competent lawyer, not a replacement for one.
4. Attorney responsibility and work product.
Output is draft analytical material until reviewed, adopted, and exercised over by the supervising attorney. It is not attorney work product until you make it so. You are responsible for all inputs, for reviewing and verifying all output, and for any use or filing of it. "Garbage in, garbage out": the quality of the output reflects the quality of the input you curate.
5. Citations presumed wrong until cleared.
Legal authorities in output ship tagged as unverified. A citation manifest accompanies drafts listing each authority, its reporter cite, pin, and proposition. You must confirm every citation before filing. Strata makes no warranty as to the accuracy of any citation, fact, or legal conclusion in draft output.
6. Acceptable use.
You will not: (a) use Strata other than as a licensed attorney for legitimate client work; (b) input data you lack rights to process; (c) attempt to identify, reverse-engineer, or attack our processing pipeline, providers, or security; (d) use output without the attorney review required above; or (e) violate any law or ethical rule.
7. Accounts & security.
You are responsible for your credentials and for all activity under your account. Notify us promptly of any unauthorized use. We may suspend access for suspected violation, security risk, or non-payment.
8. Fees & payment.
Fees are as agreed at intake or as published on our pricing page. You authorize charges for services rendered. [Specify billing terms, refund policy, and any wholesale/retail arrangements.]
9. Confidentiality & privilege.
Strata is structured to preserve attorney–client privilege and attorney work product. We do not retain matter content after download and we hold no matter content subject to third-party request. See our Privacy Policy and DPA.
10. Intellectual property.
You retain all rights to the discovery and records you upload and to the output you generate from them, which belongs to you and your client. Strata retains its software, methods, and platform. You grant us only the limited rights necessary to process your inputs and return output, solely for the purpose of providing the service.
11. Disclaimers.
The service is provided "as is" and "as available." To the fullest extent permitted by law, Strata disclaims all warranties, express or implied, including merchantability, fitness for a particular purpose, and non-infringement, and makes no representation regarding compliance with any particular bar, ethics, or evidentiary rule.
12. Limitation of liability.
To the fullest extent permitted by law, in no event will Strata's aggregate liability arising out of or related to these Terms or the service exceed the amount you paid for the service in the [three (3)] months preceding the claim, and in no event for indirect, incidental, special, consequential, or lost-profit damages. Because the attorney must verify all output before use, Strata is not liable for consequences of output that was not reviewed or was used without verification.
13. Indemnification.
You agree to indemnify and hold Strata harmless from claims arising from your inputs, your use or filing of output without the required review, your violation of these Terms, or your violation of any law or ethical duty.
14. Term & termination.
You may stop using Strata at any time. We may suspend or terminate access for violation of these Terms. On termination, any matter content still present is erased; provisions that by nature should survive (responsibility, disclaimers, limitation of liability, indemnity) remain in effect.
15. Governing law & disputes.
These Terms are governed by the laws of [the State of Nevada], without regard to conflict-of-laws principles. The parties consent to the exclusive jurisdiction of the state and federal courts located in [Clark County, Nevada], except where prohibited. [Confirm whether arbitration, class waiver, or a jury waiver applies.]
16. Changes.
We may update these Terms. Material changes will be posted with a revised effective date. Continued use after changes constitutes acceptance.
